#horses - #Help with breeding contact

Help with breeding contact

Hi all, I want to breed my Mocha next year (hopefully) to a very awesome AQHA Palomino stallion Empirical Skip; But, there was something in the contract that kind of raised a red flag but this being the first time dealing with contract breeding, a family friend bred their mares yearly with their stallion and didn't breed any outside mares. Anyway in the contract it says the stallion owner would not be liable if my mare was stolen or to put it exactly

"M.O. agrees that except in the event of S.O. gross negligence or willfull misconduct, S.O. and it's officers, members, employees, directors, family, or agents shall not be liable for any direct, special, incidental, indirect, or consequential damages, injury, or death to mare (or foal) arising out of any activity pursuant to this agreement. M.O. understands that engaging in equine activities including breeding a mare or boarding a mare (or foal) at another farm or facility is an inherently dangerous activity and that by doing so mare and/or foal are exposed to dangers both known and unknown and present a risk of injury no matter how much training they have and no matter what level of experience S.O. has and no matter what the situation. Theft of horses is possible anywhere they reside, and S.O. is not responsible for loss or theft of mare (or foal). M.O. agrees to defend, indemnify, and hold S.O. and it's officers, members, employees, directors, family, or agents harmless from and against any and all claims, demands, judgements, loss, liability, or damage including attorneys fees or costs that S.O. may incur arising out of or in any way connected with M.O. presence on or use of S.O. facility or the breeding services provided pursuant to this agreement."

M.O. is Mare owner, S.O. is stallion owner, now I don't understand why they would put on there that I couldn't hold them liable for the theft of my horse if they were responsible for taking care of her? Is this normal in stallion contracts for live cover? I don't know why but it just seemed off for me but then I don't have experience with breeding contracts.

Any help will be greatly appreciated! Also any advice on other "red flags" I should look for in the contract would be awesome too

Thank you!
